The Shareholders’ Assembly is SOFIPA’s highest decision-making body. Our shareholders actively participate in key decisions such as electing the Board and approving core strategies, and their voice is essential for our growth and development.
Our Board of Directors, composed of independent directors and shareholder representatives, leads administration and oversees executive management. Its composition ensures balanced and objective decisions, prioritizing everyone’s interests and actively promoting best practices and a culture of integrity.
The Statutory Auditor, an independent role reporting to the Shareholders’ Assembly, ensures SOFIPA’s transparency and legality through regular audits, ensuring regulatory compliance and corporate integrity.
In our Corporate Governance structure, the General Director is responsible for leading the implementation of the strategy set by the Board of Directors and managing SOFIPA’s daily operations with an integrated vision that incorporates ESGIF and ESR standards. By coordinating multiple teams, they ensure our financial and operational activities meet the highest standards of excellence, while also advancing our environmental sustainability, positive social impact, and ethical, transparent governance—aligned with ESGIF principles and ESR expectations within the Mexican microfinance sector.

Support Committees

To ensure effective governance, we have established six support committees under the Board of Directors, each with specific functions and responsibilities:

Responsible for overseeing the quality of financial information and internal and external audit processes. This committee ensures the accuracy and reliability of our financial reports.

 In charge of identifying, assessing, and mitigating operational, financial, liquidity, credit, strategic, and other risks faced by our company. This committee helps us protect our interests and respond proactively to challenges.

 Its function is to promote and ensure compliance with ethical principles and business conduct at SOFIPA. This committee is essential to uphold the integrity and solid reputation of our company.

Responsible for monitoring and ensuring compliance with our company’s obligations regarding anti-money laundering and counter-terrorism financing.

Responsible for continuously evaluating and improving our governance framework, ensuring its alignment with best practices and international standards.

Responsible for evaluating and proposing Board members and ensuring their compensation is fair and competitive.

Corporate Governance Certification

Since February 29, 2020, SOFIPA has held the INTERNATIONAL CERTIFICATION IN GOVERNANCE AND FINANCIAL INCLUSION from the IDB and BIM Asset Management, recognizing our best practices in corporate governance. Later, on February 27, 2027, we renewed our QUALITY IN GOVERNANCE CERTIFICATION from GIF, reaffirming our transparency, ethics, and efficiency.
